Constitution

PREAMBLE

We, the undersigned, wishing to secure for ourselves, and for the Amateur Radio organizations which we represent, the pleasures and benefits of an organization of Amateur Radio Clubs, do hereby constitute ourselves as the MO-KAN COUNCIL OF AMATEUR RADIO CLUBS, INC. as a not-for-profit body corporate under the Laws of the State of Missouri. We enact this Constitution as our governing law. It shall be our purpose to facilitate and assist in the management of Amateur Radio activities, to provide a forum for the exchange of information, and to promote coorperation between member societies and the general public, and to provide community service through the usage of Amateur Radio.

ARTICLE I

SECTION 1: MO-KAN COUNCIL OF AMATEUR RADIO CLUBS, INC. MEMBERSHIP
All duly organized Amateur Radio Clubs, Associations, or Societies within the Greater Kansas City Area shall be eligible for membership.

SECTION 2: APPLICATION FOR MEMBERSHIP
Membership in this organization shall be by written application and subject to election upon such terms as stated in the By-laws.

ARTICLE II

SECTION 1: OFFICERS AND ELIGIBILITY
The officers of this organization shall be: President, Vice-President, Secretary, Treasurer, and three (3) Directors. Any duly appointed representative who is a member in good standing of an organization in compliance with Article I Section I, or Article I Section 2 and currently holding membership in this organization shall be eligible to server as an Officer or Director.

SECTION 2: ELECTION AND TERM OF OFFICE
The Officers and Directors of this organization shall be elected for a term of one (1) year. Election shall be by written ballot of the member organizations duly appointed representatives, provided a quorum is present for the meeting at which elections are held (the first meeting following April 1st of each calendar year). A nominating committee shall be appointed by the President during or following the January regular meeting and the nominating committee's proposed slate of officers will be submitted to the membership in the April regular meeting notice.

SECTION 3: VACANCIES OF OFFICE
Vacancies occurring between elections must be filled by holding a special election at the first regular meeting after the vacancy is announced. Requests for resignation from any Officer must be submitted in writing to the Secretary before a vacancy in any office is declared.

SECTION 4: REMOVAL FROM OFFICE
Any elected officer may be removed from office on motion by a three-fourths (3/4) majority vote of the member organizations, provided that a quorum is present when the motion is introduced before the membership.

SECTION 5: BOARD OF DIRECTORS
The Board of directors shall consist of the four (4) elected Officers and three (3) additional Directors elected by the member organizations's duly appointed representatives, provided a quorum is present for the meeting at which elections are held, at the first meeting following April 1st of each calendar year.

ARTICLE III

SECTION 1: DUTIES OF PRESIDENT
The President shall preside at all meetings of this organization and conduct the same in compliance with the Constitution and By-laws, decide all questions of order, sign all official documents that are adopted by the organization, and perform all customary duties pertaining to the office of President.

SECTION 2: DUTIES OF VICE-PRESIDENT
The Vice-President shall assume the duties of the Prfesident in his/her absence.

SECTION 3: DUTIES OF SECRETARY
The Secretary shall keep written minutes and record proceedings of all regular and special meetings of the membership and Board of Directors meetings, maintain and take attendance of all member organizations, receive applications for membership, carry on written correspondence and read all communications at each meeting. The Secretary shall, upon expiration of term of office, turn over all materials and records to his/her successor as Secretary.

SECTION 4: DUTIES OF TREASURER
The Treasurer shall receive and achnowledge receipt of all monies and notes paid to this organization. Office of Treasurer shall keep an accurate account of all funds received and expended. The Treasurer shall pay no bills without proper authorization by this organization. At each meeting, he/she shall prepare and report on the balance of funds, payments made, and payments due. Upon expiration of the term of office, the Treasurer shall turn over all materials and records to his/her successor as Treasurer.

ARTICLE IV

SECTION 1: MEETINGS
The By-laws shall provide for both regular and special meetings. At these meetings, the attendance of duly appointed representatives of fifty-one percent (51%) or more of the members organizations shall constitute a quorum for the transaction of business.

ARTICLE V

SECTION 1: DUES
The Mo-Kan Council of ARC's Inc., by the majority vote of its members present at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization with its object(s) set forth in the Preamble thereof. Non-payment of such dues or assessments shall be cause for expulsion and/or revocation of membership from this organization within the discretion of its Members.

ARTICLE VI

SECTION 1: AMENDMENTS
This Constitution and By-laws may be amended by a two-thirds (2/3) majority of the member organization's representatives present at a meeting, provided, all member organizations have been notified by mail of a motion before this organization to amend the Constitution and/or By-laws. The notice shall include the proposed amendment, the sponsor(s) of the proposed amendment, and the location, date and time of the meeting at which the motion shall be voted upon. This written notice must be postmarked not less than ten (10) days from the date at which the meeting shall be held. All proposed amendments must be submitted in written form to the Secretary at any regular meeting of this organization, and may not be voted upon until the next meeting as specified above.

ARTICLE VII

SECTION 1: RULES OF ORDER AND PROCEDURES
Robert's Rules of Order shall govern all proceedings of this organization; the President shall insure compliance with same.

ARTICLE VIII

SECTION 1: VOTING
Each member organization shall have one (1) vote only. Each Officer and Director shall have one (1) vote, and no one person or organization shall have more than one (1) vote. Voting by proxy shall be permitted, provided that a legible, written copy of the exact wording of the motion being voted upon is present on the proxy vote. The proxy vote must be signed by a duly appointed representative of the member organization submitting the proxy vote. If the validity of any proxy vote is questioned, the President shall retain the right to disallow the proxy vote(s) submitted.

ARTICLE IX

SECTION 1: REPRESENTATIVES TO THIS ORGANIZATION
Each member organization shall advise the Secretary in writting as to the full name, call sign, and address of the duly authorized representative selected to vote and introduce motions(s) on behalf of the member organization. The member organization may also designate one (1) alternate representative. No one (1) individual may represent more than one (1) member club.
